As indicated on September 25, 2015, the offer price will be subject to standard adjustments based on financial statements as of the date of the acquisition completion.<\/p>\n<p class=\"content\">Concomitantly with the transaction completion, John Kukral (Northwood\u2019s founder), Khaled Kudsi, J\u00e9rome Anselme, Sophie Kramer and Erin Cannata have been appointed as Board directors in replacement of Commerz Real and its representatives. The executive management team will remain headed by Rapha\u00ebl Tr\u00e9guier, assisted by J\u00e9rome Anselme, new Deputy CEO.<\/p>\n<p class=\"content\">The Board of Directors will convene in the following weeks to evaluate Northwood\u2019s proposed features of CeGeREAL growth strategy (including the changes to be made in the asset management agreement, the adoption of an organizational structure adapted to CeGeREAL new growth ambitions and the optimization of the company financial structure).<\/p>\n<p class=\"content\">In accordance with applicable rules and regulations and after final determination of the acquisition price, Northwood will file a tender offer for the remaining CeGeREAL shares at a price equal to the final acquisition price of the 59.78% stake. This submission should occur before the end of the year.
